JAAR Terms of Use

1. Introduction and Acceptance

Welcome to JAAR ("JAAR," "we," "us," or "our"), a secure escrow platform accessible at usejaar.com and through the JAAR mobile application (collectively, the "Platform"). JAAR is designed to replace blind trust with protected transactions in social commerce, allowing buyers and sellers transacting on platforms such as Instagram, WhatsApp, Facebook, and TikTok to complete payments and deliveries with both parties protected throughout the process.

These Terms of Use ("Terms") govern your access to and use of the Platform. By creating an account, accepting a deal, making a payment, or otherwise using JAAR in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use JAAR. If you are using JAAR on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. What JAAR Is (and Is Not)

JAAR operates as a trust and transaction orchestration layer. We provide the platform, user experience, escrow transaction logic, dispute resolution process, and seller reputation system. We are not a bank and do not ourselves hold or move regulated customer funds — the underlying regulated financial infrastructure, including collections, sub-ledgers, transfers, and payouts, is provided by our licensed financial infrastructure partner ("Anchor" or "our Payment Partner"). JAAR never treats customer funds as its own operating money.

JAAR is not a party to the underlying sale between a Buyer and a Seller. We do not manufacture, inspect, warehouse, or ship goods, and we are not responsible for the quality, safety, legality, or accuracy of any listing, item, or service exchanged between users, except to the extent expressly described in our Dispute Resolution process below.

3. Account Registration and Verification

3.1 Creating an Account

To use JAAR, you must register using your phone number and complete one-time password (OTP) verification. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Identity and Business Verification (KYC/KYB)

JAAR uses progressive, action-triggered verification. This means you will not be required to complete identity verification (KYC) or business verification (KYB) simply to sign up — verification will be requested only when you take an action that requires it, such as making a payment as a first-time Buyer or creating a deal as a Seller.

Verification is processed via our Payment Partner's regulated KYC/KYB infrastructure. You agree to provide accurate, current, and complete information during this process, and to promptly update it if it changes. JAAR reserves the right to suspend or restrict your access to certain features, including payment, deal creation, and withdrawal, if verification fails, is incomplete, or requires further review.

3.3 Account Accuracy

You agree that all information you provide to JAAR, including your name, phone number, bank account details, and any identity or business documentation, is accurate and belongs to you or the business you are authorized to represent.

4. User Roles

4.1 Buyers

As a Buyer, you may create or accept a deal, make payment into escrow, track delivery, confirm receipt of an order, inspect the item or service received, and either accept the order or raise a dispute within the applicable inspection period.

4.2 Sellers

As a Seller, you may create or accept a deal, receive payment into locked escrow upon a Buyer's payment, fulfil delivery and provide accurate tracking or delivery information, respond to disputes raised against a transaction, and withdraw released funds to a verified bank account.

You acknowledge that you cannot independently mark an order as "delivered" in a way that automatically triggers release of funds — release is determined by JAAR's backend systems based on confirmed conditions, not by seller-submitted claims alone.

5. How a JAAR Transaction Works

The core JAAR transaction flow is as follows: a deal is created and accepted by both parties, the Buyer pays into escrow, funds are locked, the Seller prepares and ships the order, the Buyer receives and inspects the item within an agreed inspection period, and funds are then either released to the Seller (upon Buyer acceptance or automatic expiry of the inspection period without a dispute) or a dispute is raised and resolved through our Dispute Resolution process.

5.1 Deal Creation

Deals may be created and shared via WhatsApp, Instagram, Facebook, TikTok, SMS, or direct link, and can be opened and acted upon by a recipient even if they have not yet installed the JAAR mobile app. Every core transaction action — creating a deal, accepting it, paying, tracking, confirming delivery, inspecting, disputing, and uploading evidence — can be completed entirely through the web app.

5.2 Payment and Escrow

Once a deal is accepted, the Buyer's payment is collected through our Payment Partner's infrastructure and held in escrow. JAAR marks a transaction as funded only after receiving a reliable, verified confirmation from our Payment Partner — not merely on the basis of a payment confirmation screen shown to the Buyer. Funds remain locked and unavailable to the Seller until the conditions for release described below are met.

5.3 Delivery and Inspection

The Seller is responsible for providing accurate delivery and tracking information. Upon delivery, the Buyer will be prompted to confirm delivery or report a problem. Confirming delivery starts an inspection period, during which the Buyer may accept the order or raise a dispute. If the Buyer takes no action before the inspection period expires, funds are automatically released to the Seller.

5.4 Release of Funds

Funds are released to the Seller only when: payment has been confirmed, delivery has been confirmed, the inspection period has expired or the Buyer has affirmatively accepted the order, and no dispute is open on the transaction. Release decisions are made by JAAR's backend systems based on these conditions and cannot be triggered directly by either party's frontend actions.

6. Dispute Resolution

If a Buyer is dissatisfied with an order, they may raise a dispute during the inspection period, selecting a reason (such as wrong item, damaged item, item not as described, missing item or parts, counterfeit, or other) and submitting supporting evidence, which may include photos, video, text descriptions, and delivery information.

Funds relating to a disputed transaction remain locked and unreleased for the duration of the dispute. Straightforward disputes may be resolved through automated evaluation against the original transaction conditions; more complex disputes will be escalated for human review by JAAR Operations. Possible outcomes include a refund to the Buyer, payment to the Seller, or a required return of the item.

Where a return is required, JAAR will issue return instructions specifying whether the item must be returned, the return deadline, who is responsible for return delivery costs, and the resulting refund or release outcome once the return is confirmed. JAAR facilitates this process but does not itself operate as a delivery or logistics company.

JAAR's decision on a dispute, made in good faith and based on the evidence submitted by both parties, is final for the purposes of releasing or refunding escrowed funds, without prejudice to either party's other legal rights.

7. Fees

JAAR charges a transaction fee, calculated as a percentage of the transaction value on a tiered basis, which may be updated from time to time. Our Payment Partner separately charges its own infrastructure fees for collection and payout services. All applicable fees will be disclosed to you before you confirm a deal or a payment, and by proceeding with a transaction you agree to the fees shown at that time.

Fee rates are configurable and may change; any change will apply prospectively to new transactions and will not alter fees already agreed for a transaction in progress.

8. Wallet and Withdrawals

Sellers may view their available balance, pending balance, and transaction history, and may withdraw released funds to a linked and verified bank account. Withdrawal requests are processed through our Payment Partner; JAAR will not treat a withdrawal request as completed until it has received confirmation of successful transfer, and you acknowledge that withdrawal processing times may vary based on our Payment Partner's banking infrastructure and are outside JAAR's direct control.

Buyers may see refund balances where applicable, together with their transaction history.

9. Prohibited Conduct

You agree not to: use JAAR for any unlawful purpose, including money laundering or financing of illegal activity; create fraudulent deals, fake listings, or false disputes; attempt to circumvent JAAR's escrow process by transacting outside the Platform after initiating a deal on it; submit false, misleading, or manipulated evidence in a dispute; misrepresent your identity or the nature of a business you represent; attempt to gain unauthorized access to any part of the Platform, including any attempt to interfere with, reverse-engineer, or bypass our transaction state, security, or verification systems; or use the Platform to transact in goods or services that are illegal, counterfeit, stolen, or otherwise prohibited by applicable law.

JAAR reserves the right to suspend or terminate any account, freeze any transaction, and report suspected fraudulent or unlawful activity to relevant authorities, at our discretion and without prior notice where reasonably necessary.

10. Account Suspension and Termination

We may suspend or terminate your access to the Platform if you breach these Terms, if we reasonably suspect fraud or illegal activity, if required by our Payment Partner or by law, or if your verification cannot be completed or maintained. Where an account is suspended or terminated, funds already properly held in escrow for a legitimate transaction will continue to be governed by the escrow and dispute rules in these Terms until that transaction is resolved.

You may close your account at any time by contacting JAAR support, provided you have no open transactions, disputes, or pending withdrawals.

11. Limitation of Liability

To the maximum extent permitted by law, JAAR is not liable for indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of profits, loss of data, or damages resulting from a Seller's or Buyer's conduct, delays or failures caused by our Payment Partner, courier, or logistics providers, or events beyond our reasonable control.

JAAR's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount of fees actually paid by you to JAAR on the specific transaction giving rise to the claim.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

12. Third-Party Services

JAAR integrates with third-party service providers, including our Payment Partner for financial infrastructure and KYC/KYB verification, courier and logistics providers for delivery tracking, and communications providers for SMS, OTP, and email notifications. Your use of JAAR may be subject to the additional terms of these third parties where you directly interact with their services. JAAR is not responsible for the acts or omissions of independent third-party providers, though we will make reasonable efforts to assist in resolving issues that affect your transaction.

13. Intellectual Property

The Platform, including its design, software, trademarks, logos, and content (excluding user-submitted content and third-party materials), is owned by or licensed to JAAR and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform without our prior written consent.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Where changes are material, we will provide reasonable notice, such as through the Platform or by email, before the changes take effect. Continued use of JAAR after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or your use of the Platform that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Nigeria, without prejudice to any statutory rights you may have as a consumer.
